7.3.6.5 Additional costs of supervision and field office personnel directly attributable to the
change shall be applicable only to Change Orders that change the Contract Time of the

ARTICLE 9 - PAYMENTS Ai'D COMPLETION
9.2 SCHEDULE OF VALUES Add the following:
9.2.1.1 The Contractor is provided a "Subcontractor Listing and Project Budget" form as part
of the Accounting Package. The Contractor shall complete this form to Identify the
Subcontractors and Material Suppliers and their respective costs estimates. The completed
form shall be submitted b the Contractor to Wal -Mart along with other required documents not
more than ten (10) days
by
the Notice of Award, and must be received and approved by
the Wal -Mart Construction Manager before the Contract will be executed.
9.3 APPLICATIONS FOR PAYMENT

9.3.1.4 The Contractor is provided with accounting system fortes by Wal-Mart as part of the
Contra,,. 'b=ments Package and the Contractor shall properly complete and submit the
required iorms with each Application for Payment.
9.3.1.5 The Contractor is provided with Charge Order forms as part of the Contract
Documents Package. In the event a Change Order Is necessary, the form shall indicate the cost
of the Work and the cost of the Chanae Order fee which includes all overhead, profit and
operational hems such as taxes, bonds and insurance. All itemized costs shall be listed as an
attachment complete with Subcontractor and/or supplier quotes.

9.3.1.6. All utility costs for the period between the "Date of Substantial Completion ", or
Wal -Mart possession, whichever is the earliest date, and the "Grand Opening Date" shall be
paid by the Contractor exclusive of the Contract amount. Wal -Mart shall reimburse the
Contractor for all such utility costs that have occurred during the above described period upon
proper verilicatbn, such as copies of billings, canceled checks, etc., paid by the Contractor, for I
the actual billing costs and no markup will be allowed on these relmbursen-,ants.
9.3.3 Add the following: I_
9.3.3.1. In the event Wal -Mart received information that Indicated a lien has been tiled or that

there exists a potential Hen situation, the Contractor will be notified by Wal -Mart and they will
expect the Contractor to Immediately resolve the situation to the satisfaction of Wal -Mart. I
9.3.3.2. It is hereby agreed between Wal -Mart and the Contractor that each property executed

9.8 SUBSTANTIAL_ COMPLETION

possession by Wal -Mart with the exception of Wal -Mart furnished and/or installed items which
must be connected or installed by the Contractor, for the purpose of installing fixtures,
equipment and stocking merchandise.

13.8 HARMONY CLAUSE
13.8.1. The Contractor and all Subcontractors agree that no labor dispute of any kind involving
any Contractor or Subcontractor, or their employees or agents shall be permitted to occur or
be manifested on the Project and the Contractor and Subcontractors agree to that end to only
employ persons on the Work who will work at all times in harmony with other persons
employed on the Project.
13.8.2. The Contractor and all Subcontractors agree that their employees shall not participate in
or accede to any work stoppage, slow down or any type of Interierence with the performance
of woW.. by other persons on the project which may occur as a result of any labor dispute
Involving their employees.
13.8.3. Should there be a work stoppage, slow down or any type of interference with the
performance of work on the project involving the Contractor or his employees or a
Subcontractor or his employees resulting from a labor dispute and which in the judgment of
Wal -Mart will cause, or threatens to cause delay in the progress of construction, then upon
twenty -four (24) hours written notice Wal -Mart shall have the right to declare the Contractor
and/or Subcontractor in default under this Contract and take such steps as are necessary to
finish the uncompleted portion of the Work. In such event Wal -Mart shall have the right to take
possession of and use all of the Contractor's and/or Subcontractor's materials (exclusive of
tools) intended for use on the Work. The cost of completion Including all expenses, attomey's
fees and costs incurred In resolving the labor dispute shall be charged against the Contractor
and/or Subcontractor's remaining Interest in the Contract amount.
13.8.4. Should the Contractor and/or Subcontractor(s) become Involved In a labor dispute
resulting In a work stoppage, slow down or any type of Interference with progress of
construclion and result ing in an Increase in interest charges to Wal -Mart, the Contractor and/or
Subcontractor(s) shall be liable to Wal -Mart for this Increased cost. If the Contractor and/or
Subcontractor's remaining Interest In the Contract amount exceeds cost of completion, the
Contractor and/or Subcontractors) agree to pay Wal -Mart such excess within thirty (30) days
after written demand for such excess has been made upon him by Wal -Mart.
13.8.5. Harmony cause provisions similar to the provisions of the Immediately preceding
paragraphs shall be included in any of the Contractor and/or Subcontractor's subcontracts
relating to the Work.

1.09 PROJECT COORDINATION
A. Coordinate work of the various sections of Specifications to assure efficient and orderly sequence of
installation of construction elements, with provisions for accommodating items installed later and under
separate contracts.
B. Verify characteristics of elements of interrelated operating equipment are compatible; coordinate
work of various Sections having Interdependent responsibilities for installing, connecting to, and
placing in service, such equipment.
C. Coordinate space requirements and Installation of mechanical and electrical work which are indicated
diagrammatically on Drawings. Follow routing shown for pipes, ducts, and conduits, as closely as
practicable; make runs parallel with lines of building. Utilize spaces efficiently to maximize
accessibility for other installations, for maintenance, and for repairs.
D. In finished areas conceal pipes, ducts, and wiring in the construction. Coordinate locations of fixtures
and outlets with finish elements.
E. Execute cutting and patching to integrate elements of Work, uncover III- timed, defective, and
non - conforming work, provide openings for penetrations of existing surfaces, and proviue samples
for testing. Seal penetrations through floors, walls, and ceilings.
F. After Wal -Mart occupancy, coordinate access to site and premises for correction of defective work and
work not in accordance with the Contract Documents, to minimize disruption of Wal -Mart's activities.
1.10 REFERENCE STANDARDS
A. Reference to national construction standards contained herein shall be used where applicable.
Where referenced, the latest edition of the reference standard shall apply.
B . Coordinate requirements with local requirements. Local requirements shall take precedence unless
special approval is Issued by the authority having jurisdiction.
1.11 WAL -MART OCCUPANCY
A. Wal -Mart may occupy any completed or partially completed portions of the Project as provided for in
the Conditions of the Contract.
B . Cooperate with Wal -Mart to minimize conflict, and to facilitate Wal -Mart's operations.
C. Schedule the Work to accommodate this requirement.
D. Prior to Wal -Mart occupancy, ensure that the following conditions have been met:
1. Illuminate l exit signs and emergency lighting are installed and operational.
2. Exit doors are installed, including required panic hardware, and operational.
3. Lighted, enclosed walkways and other temporary safety measures are in place if required by
authorities having jurisdiction.
4. Fire sprinkler system is operational.
5. Doors required for Wal -Mart's security purposes are Installed and operational.
E. After Wal -Mart occupancy:
1. Keep exit routes and exit doors free from obstructions.
2. Maintain exit signs and fire sprinkler system in operational condition.
3. Provide security for Wal -Mart's products, equipment, and operations.
4. Do not permit smoking in the building.

A. Furnish: Purchase and deliver to project site, ready for installation.

and leave ready for use by Wal -Mart.
C. Provide: Furnish and install.
1.03 WORK COVERED BY CONTRACT DOCUMENTS
A. Work of '.hl, Contract comprises of general construction required for a new Wal -Mart store, located as
indicated on cover of Project Manual.
B. Construct the Work under a single lump sum contract.
1.04 WORK BY WAL -MART OR SEPARATE CONTRACTORS
A. Wal -Mart may award separate contracts for work at the Site, which will be executed concurrent with
work of this Contract. Consult and 000perata with separate contractors to the full extent provided for
In the Conditions of the Contract.
B. During setup of equipment by Wal -Mart, make crane service available to hoist equipment directly
from trucks to final position. Coordinate schedule with Wal -Mart's Construction Manager.

Contractor.
