Yeager, Esq. 1 A R L COPY LONG REFUND NCHG EXAM MEMORANDUM OF AGREEMENT 2 ` LC THIS MEMORANDUM OF AGREEMENT is made and executed and delivered as of June 24, 2003, by and between Pardee Homes, a California corporation (the "Landowner") and the City of Lake Elsinore, a municipal corporation (the "City"). 1. The Landowner and City entered into a Public Facilities and Services Financing Agreement of the Major Property Owner, dated June 24, 2003 (the "Agreement") affecting certain property in the County of Riverside, State of California (the "Property") owned by Landowner and described on Exhibit "A" attached hereto incorporated herein by reference. All capitalized terms used herein shall have the meanings ascribed to them in the Disclosure Agreement. 2. The Agreement establishes certain rights and obligations of the Landowner and City relating to the implementation of a development plan for the Property and the financing, acquisition, and/or construction and operation of various pubic improvements required in connection with development of the Property. 3. Landowner and City desire to record this Memorandum of Agreement as notification to the world of the existence of the Agreement. It is not the intention of Landowner or the City that purchasers of individual residences within the Property be obligated under the Agreement. 4.
