Subject:Amendment No. 2 to the Professional Services Agreement with Adams-
Streeter Civil Engineers Inc., for the Main Street Pedestrian Safety
Improvements and Information Technology Infrastructure Project Z10075
Recommendation
Approve and Authorize the City Manager to execute Amendment No. 2 to the Agreement for
Professional Services with Adams-Streeter Civil Engineers Inc., for an additional amount of
$34,765 bringing the total contract amount not to exceed $251,620 in final form as approved by
the City Attorney.
Background
On October 11, 2022, the City Council approved the Professional Services Agreement in the
amount of $145,855.00, with Adams-Streeter Civil Engineers Inc., for engineering design services
to implement safety improvements and technology infrastructure on Main Street between
Lakeshore Drive and the I-15 freeway, including final design conduit infrastructure plans,
intersection enhancement plans and pedestrian safety elements within the Main Street corridor.
Amendment No. 1 was approved on January 10, 2023 for additional services in the amount of
$71,000.
Discussion
Additional scope under Amendment No. 2 includes additional survey, ADA ramp design and in-
ground pedestrian flashing lights at the intersection of Main Street and Library Street, providing a
connection from the new City parking lot to the Downtown area. Amendment No. 2 also includes
production of a mock-up for a City logo that will be implemented at all new enhanced intersections
along Main Street.

Fiscal Impact
Professional Services Agreement with Adams Streeter Civil Engineers will result in a revised total
cost of $251,620. The Project is programmed in the City’s CIP budget.

AMENDMENT NO. 2
TO AGREEMENT FOR PROFESSIONAL SERVICES
Adams-Streeter Civil Engineers, Inc.
Main Street Pedestrian Safety Improvements and Information Technology Infrastructure
Project Z10075
This Amendment No. 2 to Agreement for Professional Services is made and entered into
as of 6/13/2023, by and between the City of Lake Elsinore, a municipal corporation (“City), and
Adams-Streeter Engineers, Inc., a Corporation (“Consultant”).
RECITALS
A. The City and Consultant have entered into that certain Agreement for Professional
Services dated as of 10/11/2022, (the “Original Agreement”). Except as otherwise defined
herein, all capitalized terms used herein shall have the meanings set forth for such terms in the
Original Agreement.
B. The Original Agreement provided for compensation in an amount of One-Hundred
Forty-Five Thousand Eight Hundred Fifty-Five dollars ($145,855.00).
C. Amendment No. 1 was approved by the City Council on January 10, 2023 for
additional services and an increase in compensation in an amount of Seventy-One Thousand
dollars ($71,000).
D. The parties now desire to amend the scope of services and increase the payment
for such services as set forth in this Amendment No 2.
NOW, THEREFORE, in consideration of the mutual covenants and conditions set forth
herein, City and Consultant agree as follows:
1. Section 1, Scope of Services, of the Original Agreement is hereby amended to add
the following:
Consultant shall also perform the services described in Consultant’s
5/2/2023 Proposal (attached to this Amendment No.2 as Exhibit A-2).
Consultant shall provide such services at the time, place, and in the manner
specified in Exhibit A-2, subject to the direction of the City through its staff
that it may provide from time to time.
2. Section 3, Compensation, of the Original Agreement is hereby amended to add the
following:
Notwithstanding the foregoing, for purposes of Amendment No. 2 and the
term thereof, compensation to be paid to Consultant shall be in accordance
with the Schedule of Charges set forth in Consultant’s Proposal
(referenced collectively as Exhibit A-2 Amendment No. 2). In no event
shall Consultant’s compensation for such services exceed Thirty-Four
Thousand Seven Hundred Sixty-Five Dollars ($34,765) without additional
written authorization from the City Council.
Total compensation paid to Consultant for services under the Original
Agreement as amended by Amendment No.1 and Amendment No. 2 shall

not exceed Two Hundred Fifty-One Thousand Six Hundred Twenty Dollars
($251,620).
Notwithstanding any provision of Consultant’s Proposal to the contrary, out
of pocket expenses set forth in Exhibits A, A-1 and A-2 respectively, shall
be reimbursed at cost without an inflator or administrative charge.
Payment by City under this Agreement shall not be deemed a waiver of
defects, even if such defects were known to the City at the time of payment.
3. Except for the changes specifically set forth herein, all other terms and conditions
of the Original Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have caused this Amendment No. 2 to be executed
on the respective dates set forth below.
