Subject:Professional Civil Engineering Services to Provide Final Engineering for
Summerhill Drive Interim Extension
Recommendation
Approve and Authorize the City Manager to execute an Agreement for Professional Design
Servicesin the amount of $201,700to Hunsaker and Associates, Inc., plus an additional 10%
contingency,in final form as approved by City Attorney.
Background
The Agreementwill authorize Hunsaker and Associates to start the design of a two-lane
roadway for Summerhill Drive Extension. The design will provide plans to go out for bid and
construction to extend Summerhill Drive to Greenwald Ave.
On January 8th, 2019, Council approved a Professional Services Agreement withGlenn Lukos
Associates for the Biological and Regulatory Support for the Summerhill Extension project. Both
consultants will work in tandem to provide all professional services necessary to complete a
constructible design package with compliance with regulatory requirements.
Discussion
Hunsaker and Associates will provide civil engineering designnecessary for the construction of
a two-lane roadway extending Summerhill Drive to Greenwald Ave. The design services will
address, trafficsignal, hydrology, storm drain improvements, grading, geotechnical and all other
engineering disciplines required to complete a constructible design. The length of the roadway
extension is estimated to be around 4,200 ft in length. The design includes preparing Record of
Survey and the identification of Right of Way (ROW) impacts and preparing plats and legal
descriptions for the ROW needed.
Fiscal Impact
Professional Services Agreementwill result into a cost of $201,700 plus an additional 10% in
contingency.

ThisAgreement forProfessionalServices(the“Agreement”)ismadeandenteredintoas
ofMay14,2019,byandbetweentheCityofLakeElsinore,amunicipalcorporation(‘‘City")and
HunsakerandAssociates, Inc.,a("Consultant").
RECITALS
A.TheCityhasdeterminedthatitrequiresthefollowingprofessionalservices:Design
ServicesfortheSummerhillDriveInterimExtension.
B.ConsultanthassubmittedtoCityaproposal,datedMay6,2019,attachedhereto
asExhibitA(“Consultant’sProposal”)andincorporatedherein,toprovideprofessionalservices
to Citypursuant tothetermsofthisAgreement.
C.Consultantpossessestheskill,experience,ability,background,certificationand
knowledgetoperformtheservicesdescribedinthisAgreementonthetermsandconditions
describedherein.
D.CitydesirestoretainConsultanttoperformtheservicesasprovidedhereinand
Consultantdesiresto providesuchprofessionalservicesasset forthinthisAgreement.
AGREEMENT
1.ScopeofServices.Consultantshallperformtheservicesdescribedin
Consultant’sProposal(ExhibitA).Consultantshallprovidesuchservicesatthetime,place,and
inthemannerspecifiedinConsultant’sProposal(ExhibitA),subjecttothedirectionoftheCity
throughitsstaff thatitmayprovidefromtimetotime.
2.TimeofPerformance.
a.TimeofEssence.Timeisoftheessenceintheperformanceofthis
Agreement.ThetimeforcompletionoftheprofessionalservicestobeperformedbyConsultant
isanessentialconditionofthisAgreement.Consultantshallprosecuteregularlyanddiligently
theprofessionalservicescontemplatedpursuanttothisAgreementaccordingtotheagreedupon
performancescheduleinConsultant’sProposal(ExhibitA).
b.PerformanceSchedule.Consultantshallcommencetheservicespursuant
tothisAgreementuponreceipt ofawrittennoticetoproceedandshallperformallserviceswithin
thetimeperiod(s)establishedintheConsultant’sProposal(ExhibitA).Whenrequestedby
Consultant,extensionstothetimeperiod(s)specifiedmaybeapprovedinwritingbytheCity
Manager.
c.Term.UnlessearlierterminatedasprovidedelsewhereinthisAgreement,
thisAgreementshallcontinueinfullforceandeffectforaperiodofone(1)year,commencingon
May14,2019andending onJune30,2020.TheCitymay,atitssolediscretion,extendtheterm
ofthisAgreementona12-monthbasisnottoexceedtwo(2)additionaltwelve(12)monthrenewal

termsbygivingwrittennoticethereoftoConsultantnotlessthanthirty(30)daysbeforetheend
ofthe contract term,suchnoticetobeexercisedbythe CityManager.
Consultantherebyagreesandacknowledgesthatanyandallworkor
servicesperformedpursuanttothisAgreementshallbebasedupontheissuanceofaprojecttask
orderbytheCity.Consultantacknowledgesthatitisnotguaranteedanyminimumorspecific
amountofworkorservicesasallworkorservicesshallbeauthorizedthroughtaskorderissued
bythe City.
3.Compensation.CompensationtobepaidtoConsultantshallbeinaccordance
withthefeessetforthin Consultants’Proposal(ExhibitA),whichis attachedheretoand
incorporatedhereinbyreference.InnoeventshallConsultant’scompensationexceed Two
HundredandOneThousandSevenHundreddollars($201,700)withoutadditionalwritten
authorizationfromtheCity.NotwithstandinganyprovisionofConsultant’sProposaltothe
contrary,outofpocketexpensessetforthinExhibitAshallbereimbursedatcostwithoutan
inflatororadministrativecharge.PaymentbyCityunderthisAgreementshallnotbedeemeda
waiverofdefects,evenifsuchdefectswere knowntotheCityat thetimeofpayment.
4.MethodofPayment.ConsultantshallpromptlysubmitbillingstotheCity
describingtheservicesandrelatedworkperformedduringtheprecedingmonthtotheextentthat
suchservicesandrelatedworkwereperformed.Consultant’sbillsshallbesegregatedbyproject
task,ifapplicable,suchthattheCityreceivesaseparateaccountingforworkdoneoneach
individualtaskforwhichConsultantprovidesservices.Consultant’sbillsshallincludeabrief
descriptionoftheservicesperformed,thedatetheserviceswereperformed,thenumberofhours
spentandbywhom,andadescriptionofanyreimbursableexpenditures.Cityshallpay
Consultantnolaterthanforty-five(45) daysafterreceiptofthemonthlyinvoicebyCitystaff.
5.Reserved.
6.SuspensionorTermination.
a.TheCitymayatanytime,foranyreason,withorwithoutcause,suspend
orterminatethisAgreement,oranyportionhereof,byservingupontheConsultantatleastten
(10)dayspriorwrittennotice.Uponreceiptofsuchnotice,theConsultantshallimmediatelycease
allworkunderthisAgreement,unlessthenoticeprovidesotherwise.IftheCitysuspendsor
terminatesaportionofthisAgreementsuchsuspensionorterminationshallnotmakevoidor
invalidatetheremainder ofthisAgreement.
b.IntheeventthisAgreementisterminatedpursuanttothisSection,theCity
shallpaytoConsultanttheactualvalueoftheworkperformeduptothetimeoftermination,
providedthattheworkperformedisofvaluetotheCity.UponterminationoftheAgreement
pursuanttothisSection,theConsultantwillsubmitaninvoicetotheCity,pursuanttoSection
entitled“MethodofPayment” herein.
7.OwnershipofDocuments.Allplans,studies,documentsandotherwritings
preparedbyandforConsultant,itsofficers,employeesandagentsandsubcontractorsinthe
courseofimplementingthis Agreement,exceptworkingnotepadinternaldocuments,shall
becomethepropertyoftheCityuponpaymenttoConsultantforsuchwork,andtheCityshall
havethesolerighttousesuchmaterialsinitsdiscretionwithoutfurthercompensationto
Consultantortoanyotherparty.Consultantshall,atConsultant’sexpense,providesuchreports,
plans,studies,documentsandotherwritingstoCityuponwrittenrequest.Cityacknowledges

that anyuseofsuchmaterialsinamanner beyond theintendedpurposeas setforthhereinshall
beatthesoleriskoftheCity.Cityfurtheragreestodefend,indemnifyandholdharmless
Consultant,itsofficers,officials,agents,employeesandvolunteersfromanyclaims,demands,
actions,losses,damages,injuries,andliability,directorindirect(includinganyandallcostsand
expensesinconnectiontherein),arisingoutoftheCity’suseofsuchmaterialsinamannerbeyond
the intendedpurposeasset forthherein.
a.LicensingofIntellectualProperty.ThisAgreementcreatesanonexclusive
andperpetuallicenseforCitytocopy,use,modify,reuse,orsublicenseanyandallcopyrights,
designs,andotherintellectualpropertyembodiedinplans,specifications,studies,drawings,
estimates,andotherdocumentsorworksofauthorshipfixedinanytangiblemediumof
expression,includingbutnotlimitedto,physicaldrawingsordatamagneticallyorotherwise
recordedoncomputerdiskettes,whicharepreparedorcausedtobepreparedbyConsultant
underthisAgreement("Documents&Data").Consultantshallrequirethatallsubcontractors
agreeinwritingthatCityisgrantedanonexclusiveandperpetuallicenseforanyDocuments&
DatathesubcontractorspreparesunderthisAgreement.Consultantrepresentsandwarrants
thatConsultanthasthelegalrighttolicenseanyandallDocuments&Data.Consultantmakes
nosuchrepresentationandwarrantyinregardtoDocuments&Datawhichwerepreparedby
designprofessionalsotherthanConsultantorprovidedtoConsultantbytheCity.Cityshallnot
belimitedinanyway initsuseoftheDocuments& Dataatanytime, providedthat anysuchuse
notwithinthe purposesintendedbythisAgreementshallbeat City’ssolerisk.
b.Confidentiality.Allideas,memoranda,specifications,plans,procedures,
drawings,descriptions,computerprogramdata,inputrecorddata,writteninformation,andother
Documents&DataeithercreatedbyorprovidedtoConsultantinconnectionwiththeperformance
ofthisAgreementshallbeheldconfidentialbyConsultant.Suchmaterialsshallnot,withoutthe
prior writtenconsentofCity,beusedbyConsultantforanypurposesotherthantheperformance
oftheservicesunderthisAgreement.Norshallsuchmaterialsbedisclosedtoanypersonor
entitynotconnectedwiththeperformanceoftheservicesunderthisAgreement.Nothing
furnishedtoConsultantwhichisotherwiseknowntoConsultantorisgenerallyknown,orhas
becomeknown,totherelatedindustryshallbedeemedconfidential.Consultantshallnotuse
City’snameorinsignia,photographsrelatingtoprojectforwhichConsultant’sservicesare
rendered,oranypublicitypertainingtotheConsultant’sservicesunderthisAgreementinany
magazine,tradepaper,newspaper,televisionorradioproductionorothersimilarmediumwithout
the priorwrittenconsent ofCity.
8.Consultant’sBooksandRecords.
a.Consultantshallmaintainanyandallledgers,booksofaccount,invoices,
vouchers,canceledchecks,andotherrecordsordocumentsevidencingorrelatingtochargesfor
services,orexpendituresanddisbursementschargedtoCityforaminimumperiodofthree(3)
years,orforanylongerperiodrequiredbylaw,fromthedateoffinalpaymenttoConsultantto
thisAgreement.
b.Consultantshallmaintainalldocumentsandrecordswhichdemonstrate
performanceunderthisAgreementforaminimumperiodofthree(3)years,orforanylonger
periodrequiredbylaw,fromthe dateofterminationor completionofthisAgreement.
c.Anyrecordsordocumentsrequiredtobemaintainedpursuanttothis
Agreementshallbemadeavailableforinspectionoraudit,atanytimeduringregularbusiness
hours,uponwrittenrequestbytheCityManager,CityAttorney,CityAuditororadesignated

representativeoftheseofficers.CopiesofsuchdocumentsshallbeprovidedtotheCityfor
inspectionatCityHallwhenitispracticaltodoso.Otherwise,unlessanalternativeismutually
agreedupon,therecordsshallbeavailableatConsultant’saddressindicatedforreceiptofnotices
inthisAgreement.
d.WhereCityhasreasontobelievethatsuchrecordsordocumentsmaybe
lostordiscardedduetodissolution,disbandmentorterminationofConsultant’sbusiness,City
may,bywrittenrequestbyanyoftheabove-namedofficers,requirethatcustodyoftherecords
begiventotheCityandthattherecordsanddocumentsbemaintainedinCityHall.Accessto
suchrecordsanddocumentsshallbegrantedtoanypartyauthorizedbyConsultant,Consultant’s
representatives,orConsultant’ssuccessor-in-interest.
9.IndependentConsultant.ItisunderstoodthatConsultant,intheperformanceof
theworkandservicesagreedtobeperformed,shallactasandbeanindependentConsultant
andshallnot act asanagentoremployeeoftheCity.
10.PERSEligibilityIndemnification.IntheeventthatConsultantoranyemployee,
agent,orsubcontractorsofConsultantprovidingservicesunderthisAgreementclaimsoris
determinedbyacourtofcompetentjurisdictionortheCaliforniaPublicEmployeesRetirement
System(PERS)tobeeligibleforenrollmentinPERSasanemployeeoftheCity,Consultantshall
indemnify,defend,andholdharmlessCityforthepaymentofanyemployeeand/oremployer
contributionsforPERSbenefitsonbehalfofConsultantoritsemployees,agents,or
subcontractors,aswellasforthepaymentofanypenaltiesandinterestonsuchcontributions,
whichwouldotherwisebetheresponsibilityofCity.
Notwithstandinganyotherfederal,stateandlocallaws,codes,ordinancesand
regulationstothecontrary,Consultantandanyofitsemployees,agents,andsubcontractors
providingserviceunderthisAgreementshallnotqualifyfororbecomeentitledto,andhereby
agreeto waiveanyclaimsto,anycompensation, benefit,oranyincidentofemploymentbyCity,
includingbutnotlimitedtoeligibilitytoenrollinPERSasanemployeeofCityandentitlementto
anycontributiontobepaidbyCityforemployercontributionand/oremployeecontributionsfor
PERSbenefits.
11.InterestsofConsultant.Consultant(includingprincipals,associatesand
professionalemployees)covenantsandrepresentsthatitdoesnotnowhaveanyinvestmentor
interestinrealpropertyandshallnotacquireanyinterest,directorindirect,intheareacovered
bythisAgreementoranyothersourceofincome,interestinrealpropertyorinvestmentwhich
wouldbeaffectedinanymannerordegreebytheperformanceofConsultant’sservices
hereunder.Consultantfurthercovenantsandrepresentsthatintheperformanceofitsduties
hereunder nopersonhavinganysuchinterest shallperform anyservicesunder thisAgreement.
Consultantisnot a designatedemployeewithinthe meaningofthePoliticalReformAct
becauseConsultant:
a.willconductresearchandarriveatconclusionswithrespecttohis/her
renditionofinformation,advice,recommendationorcounselindependentofthecontroland
directionofthe Cityor ofanyCityofficial, other thannormalagreement monitoring;and
b.possessesnoauthoritywithrespectto any Citydecisionbeyondrendition
ofinformation, advice,recommendationorcounsel.(FPPCReg. 18700(a)(2).)

12.ProfessionalAbilityofConsultant.Cityhasreliedupontheprofessionaltraining
andabilityofConsultanttoperformtheserviceshereunderasamaterialinducementtoenterinto
thisAgreement.Consultantshallthereforeprovideproperlyskilledprofessionalandtechnical
personneltoperform allservicesunderthisAgreement.AllworkperformedbyConsultant under
thisAgreementshallbeinaccordancewithapplicablelegalrequirementsandshallmeetthe
standardofqualityordinarilytobeexpectedofcompetentprofessionalsinConsultant’sfieldof
expertise.
13.CompliancewithLaws.Consultantshallusethestandardofcareinitsprofession
to complywithallapplicablefederal, stateandlocallaws,codes,ordinancesandregulations.
14.Licenses.ConsultantrepresentsandwarrantstoCitythatithasthelicenses,
permits,qualifications,insuranceandapprovalsofwhatsoevernaturewhicharelegallyrequired
ofConsultanttopracticeitsprofession.ConsultantrepresentsandwarrantstoCitythat
Consultant shall,atitssolecostandexpense,keepineffect orobtainatalltimesduringtheterm
ofthisAgreement,anylicenses,permits,insuranceandapprovalswhicharelegallyrequiredof
Consultanttopracticeitsprofession.ConsultantshallmaintainaCityofLakeElsinorebusiness
license.
15.Indemnity.
a.Indemnification for Professional Liability. To the fullest extent permitted by
law, Consultant shall indemnify, defend and hold harmless City and any and all of its
officials, employees and agents (“Indemnified Parties”) from and against any and all claims,
losses, liabilities, damages, costs and expenses, including attorney’s fees and costs, to the
extent they arise out of, pertain to, or relate to the negligence, recklessness, or willful
misconduct ofthe Consultant. Consultant’s duty to defend shall consist of reimbursement of
defense costs incurred by City in direct proportion to the Consultant’s proportionate
percentage of fault. Consultant’s percentage of fault shall be determined, as applicable, by a
court of law, jury or arbitrator. In the event any loss, liability or damage is incurred by way of
settlement or resolution without a court, jury or arbitrator having made a determination of the
Consultant’s percentage of fault, the parties agree to mediation with a third party neutral to
determine the Consultant’s proportionate percentage of fault for purposes of determining the
amount of indemnity and defense cost reimbursement owed to the City.
b.Indemnification for Other Than Professional Liability.Other than in the
performance of professional services and to the full extent permitted by law, Consultant shall
indemnify, defend and hold harmless City, and any and all of its employees, officials and
agents from and against any liability (including liability for claims, suits, actions, arbitration
proceedings, administrative proceedings, regulatory proceedings, losses, expenses or costs
of any kind, whether actual, alleged or threatened, including attorneys’ fees and costs, court
costs, interest, defense costs, and expert witness fees), where the same arise out of, are a
consequence of, or are in any way attributable to, in whole or in part, the performance of this
Agreement by Consultant or by any individual or entity for which Consultant is legally liable,
including but not limited to officers, agents, employees or sub-consultants of Consultant.
Consultant shall not be liable to third parties for any liability exempted by statute.
c.General Indemnification Provisions. Consultant agrees to obtain executed
indemnity agreements with provisions identical to those set forth here in this section from
each and every sub-consultant or any other person or entity involved by, for, with or on
behalf of Consultant in the performance of this Agreement. In the event Consultant fails to
obtain such indemnity obligations from others as required here, Consultant agrees to be fully

responsible according to the terms of this section. Failure of City to monitor compliance with
these requirements imposes no additional obligations on City and will in no way act as a
waiver of any rights hereunder. This obligation to indemnify and defend City as set forth here
is binding on the successors, assigns or heirs of Consultant and shall survive the termination
of this Agreement or this section.
16.InsuranceRequirements.
a.Insurance.Consultant,atConsultant’sowncostandexpense,shall
procureandmaintain,forthedurationofthecontract,unlessmodifiedbytheCity’sRiskManager,
thefollowinginsurancepolicies.
i.Workers’CompensationCoverage.Consultantshallmaintain
Workers’Compensation InsuranceandEmployer’s Liability Insurancefor his/her
employeesinaccordancewiththelawsofthe StateofCalifornia.In addition,Consultantshall
requireeachsubcontractorstosimilarlymaintainWorkers’CompensationInsuranceand
Employer’sLiabilityInsuranceinaccordancewiththelawsoftheStateofCaliforniaforallof
thesubcontractor’semployees.Anynoticeofcancellationornon-renewalofallWorkers’
CompensationpoliciesmustbereceivedbytheCityatleastthirty(30)dayspriortosuch
change.TheinsurershallagreetowaiveallrightsofsubrogationagainstCity, itsofficers,
agents,employeesandvolunteersforlossesarisingfromworkperformedbyConsultant
forCity.In theeventthatConsultantisexemptfromWorker’sCompensationInsuranceand
Employer’sLiabilityInsuranceforhis/heremployeesinaccordancewiththelawsofthe
StateofCalifornia,ConsultantshallsubmittotheCityaCertificateofExemptionfrom
WorkersCompensationInsuranceinaformapprovedbytheCityAttorney.
ii.GeneralLiabilityCoverage.Consultantshallmaintaincommercial
generalliabilityinsuranceinanamountnotlessthanonemilliondollars($1,000,000)per
occurrenceforbodilyinjury,personalinjuryandpropertydamage.Ifacommercialgeneral
liabilityinsuranceformorotherformwithageneralaggregatelimitisused,eitherthe
generalaggregatelimitshallapplyseparatelytotheworktobeperformedunderthis
Agreementorthegeneralaggregatelimitshallbeatleasttwicetherequiredoccurrence
limit.Requiredcommercialgeneralliabilitycoverageshallbeatleastasbroadas
InsuranceServicesOfficeCommercialGeneralLiabilityoccurrenceformCG0001(ed.
11/88)orInsuranceServicesOfficeformnumberGL0002(ed.1/73)covering
comprehensiveGeneralLiabilityandInsuranceServicesOfficeformnumberGL0404
coveringBroadFormComprehensiveGeneralLiability.Noendorsementmaybeattached
limitingthecoverage.
iii.AutomobileLiabilityCoverage.Consultantshallmaintainautomobile
liabilityinsurancecoveringbodilyinjuryandpropertydamageforallactivitiesofthe
Consultantarisingoutoforinconnectionwiththeworktobeperformedunderthis
Agreement,includingcoverageforowned,hiredandnon-ownedvehicles,inanamountof
notlessthanonemilliondollars($1,000,000)combinedsinglelimitforeachoccurrence.
AutomobileliabilitycoveragemustbeatleastasbroadasInsuranceServicesOffice
AutomobileLiabilityformCA0001(ed.12/90)Code1(“anyauto”).Noendorsementmaybe
attachedlimitingthecoverage.
iv.Professional Liability Coverage.Consultant shall maintain
professional errors and omissions liability insurance appropriatefor Consultant’s
professionforprotectionagainstclaimsallegingnegligentacts,errorsoromissionswhich
mayarisefromConsultant’sservicesunderthisAgreement,whethersuchservicesare
providedbytheConsultantorbyitsemployees,subcontractors,orsubconsultants.The

amountofthisinsuranceshallnotbelessthanonemilliondollars($1,000,000)ona
claims-madeannualaggregatebasis, or a combinedsinglelimitperoccurrencebasis.
b.Endorsements.Eachgeneralliabilityandautomobileliabilityinsurance
policyshallbewithinsurerspossessingaBest’sratingofnolessthanA:VIIandshallbe
endorsedwiththefollowingspecificlanguage:
i.TheCity,itselectedorappointedofficers,officials,employees,
agentsandvolunteersaretobecoveredasadditionalinsuredwithrespecttoliability
arisingout ofworkperformedbyoronbehalfoftheConsultant, includingmaterials,partsor
equipment furnishedinconnectionwithsuchworkoroperations.
ii.Thispolicyshallbeconsideredprimaryinsuranceasrespectsthe
City,itselectedorappointedofficers,officials,employees,agentsandvolunteers.
AnyinsurancemaintainedbytheCity,includinganyself-insuredretentiontheCitymay
have,shallbeconsideredexcessinsuranceonlyandshallnot contributewithit.
iii.Thisinsuranceshallactforeachinsuredandadditionalinsuredas
thoughaseparatepolicyhadbeenwrittenforeach,exceptwithrespecttothelimitsof
liabilityoftheinsuringcompany.
iv.TheinsurerwaivesallrightsofsubrogationagainsttheCity,its
electedor appointedofficers, officials,employeesor agents.
v.Anyfailuretocomplywithreportingprovisionsofthepoliciesshall
notaffectcoverageprovidedtotheCity,its electedorappointedofficers,officials,
employees,agentsorvolunteers.
vi.TheinsuranceprovidedbythisPolicyshallnotbesuspended,
voided,canceled,orreducedincoverageorinlimitsexceptafterthirty(30)dayswritten
noticehasbeenreceivedbythe City.
c.DeductiblesandSelf-InsuredRetentions.Anydeductiblesorself-insured

18.EntireAgreement.ThisAgreementconstitutesthecompleteandexclusive
statementofAgreementbetweentheCityandConsultant.Allpriorwrittenandoral

19.Amendments.ThisAgreementmaybemodifiedoramendedonlybyawritten

responsibletoCityforallactsoromissionsofanysubcontractors.Assignmentsofanyorall

22.Severability.IfanytermorportionofthisAgreementisheldtobeinvalid,illegal,
orotherwiseunenforceablebyacourtofcompetentjurisdiction,theremainingprovisionsofthis
Agreementshallcontinueinfullforceandeffect.
23.ControllingLawVenue.ThisAgreementandallmattersrelatingtoitshallbe
governedbythelawsoftheStateofCaliforniaandanyactionbrought relatingtothisAgreement
shallbeheldexclusivelyina statecourtintheCountyofRiverside.
24.LitigationExpensesandAttorneys’Fees.IfeitherpartytothisAgreement
commencesanylegalactionagainsttheotherpartyarisingoutofthisAgreement,theprevailing
partyshallbeentitledtorecoveritsreasonablelitigationexpenses,includingcourtcosts,expert
witnessfees, discoveryexpenses,andattorneys’fees.
25.Mediation.Thepartiesagreetomakeagoodfaithattempttoresolveanydisputes
arisingoutofthisAgreementthroughmediationpriorto commencinglitigation.The partiesshall
mutuallyagreeuponthemediatorandsharethecostsofmediationequally.Ifthepartiesare
unabletoagreeuponamediator,thedisputeshallbesubmittedtoJAMSoritssuccessorin
interest.JAMSshallprovidethepartieswiththenamesoffivequalifiedmediators.Eachparty

shallhavetheoptiontostriketwoofthefivemediatorsselectedbyJAMSandthereafterthe
mediatorremainingshallhearthedispute.Ifthedisputeremainsunresolvedaftermediation,

26.AuthoritytoEnterAgreement.Consultanthasallrequisitepowerandauthorityto
conductitsbusinessandtoexecute,deliver,andperformtheAgreement.Eachpartywarrants
that the individualswhohavesignedthisAgreementhavethelegalpower,right, andauthorityto
makethisAgreementandtobindeachrespectiveparty.TheCityManagerisauthorizedtoenter
intoanamendmentorotherwisetakeactiononbehalfoftheCity tomakethefollowing
modificationstotheAgreement:(a)anamechange;(b)grantextensionsoftime;(c)non-
monetarychangesinthescopeofservices;and/or(d) suspendorterminatetheAgreement.
27.ProhibitedInterests.Consultantmaintainsandwarrantsthatithasnotemployed
norretainedanycompanyorperson,otherthanabonafideemployeeworkingsolelyfor
Consultant,to solicitorsecurethisAgreement.Further,Consultantwarrantsthatithasnotpaid
nor hasitagreedtopayanycompanyor person,otherthanabonafideemployee workingsolely
forConsultant,anyfee,commission,percentage,brokeragefee,giftorotherconsideration
contingentuponorresultingfromtheawardormakingofthisAgreement.Forbreachorviolation
ofthiswarranty,Cityshallhavetherightto rescindthisAgreementwithoutliability.Forthe term
ofthisAgreement,nomember,officeroremployeeofCity,duringthetermofhisorherservice
withCity,shallhaveanydirectinterestinthisAgreement,orobtainanypresentoranticipated
materialbenefit arisingtherefrom.
28.EqualOpportunityEmployment.Consultantrepresentsthatitisanequal
opportunityemployeranditshallnotdiscriminateagainstanysubcontractors,employeeor
applicantforemploymentbecauseofrace,religion,color,nationalorigin,handicap,ancestry,sex

29.PrevailingWages.ConsultantisawareoftherequirementsofCaliforniaLabor
CodeSection1720,etseq., and1770,etseq., as wellasCaliforniaCodeofRegulations,Title8,
Section16000,etseq.,("PrevailingWageLaws"),whichrequirethepaymentofprevailingwage
ratesandtheperformanceofotherrequirementson"publicworks"and"maintenance"projects.
Consultantagreestofullycomplywithallapplicablefederalandstatelaborlaws(including,
withoutlimitation,ifapplicable,thePrevailingWageLaws).Itisagreedbythepartiesthat,in
connectionwiththeWorkorServicesprovidedpursuanttothisAgreement,Consultantshallbear
allrisksofpaymentornon-paymentofprevailingwagesunderCalifornialaw,andConsultant
herebyagreestodefend,indemnify,andholdtheCity,anditsofficials,officers,employees,
agents,andvolunteers,freeandharmlessfromanyclaimorliabilityarisingoutofanyfailureor
allegedfailuretocomplywiththePrevailingWageLaws.Theforegoingindemnityshallsurvive
terminationofthisAgreement.
30.Execution.ThisAgreementmaybeexecutedinseveralcounterparts,eachof
whichshallconstituteoneandthesameinstrumentandshallbecomebindingupontheparties
whenatleastonecopyhereofshallhavebeensignedbybothpartieshereto.Inapprovingthis
Agreement, itshallnotbenecessaryto produceoraccount formorethanonesuchcounterpart.

SCOPE OF SERVICES
H&A has developed a comprehensive scope of services that is anticipated to evolve
Summerhill Drive plan and profile that will be acceptable to the City of Lake Elsinore.
The scope of services, subject to your approval and based on the general
understandings and assumptions herein, will be as follows:
ENGINEERING
Office Engineering
1. Conduct research of public files for existing and planned infrastructure,survey/
Right-of-Way plat map data, wet and dry utilities, review Client and City
provided roadway improvement plans and identifying voids in reference data,
etc.
2. Review survey mapping data of record and prepare Roadway Right-of-Way
basemap_
3. Develop Roadway typical section.
4. Prepare earthwork analysis for estimating purposes.
5. Prepare 1"=40' minimum scale storm drain improvements facilities plan to
accommodate roadway construction and associated grading improvements
including hydraulic calculations and pipeline sizing for new storm drain culvert
facilities.
6. Prepare detailed Proforma Quantity and Cost Estimate for road plan including
grading and new infrastructure improvements, etc. for project preliminary
budgeting purposes.
7. Coordinate with ALTA Geotechnical and TJW Engineering.
8. Attend Client requested City staff meetings including providing civil
engineering project coordination/steering consultation services to evolve
conceptual Roadway widening plans ready for final engineering design
commencement (estimate only: 24 hours).
9. Prepare a hydrology study to size of interim culverts.
10. Prepare and process Summerhill Drive street plans including grading(4,200

11. Prepare legals and plats for ultimate street right-of-way, including slope

GENERAL UNDERSTANDINGS
AND ASSUMPTIONS
1. Design for landscape items and appurtenances is not a part of this proposal.
2. Governmental Agency fees or charges are to be the responsibility of the
Client.
3. The Engineer's work does NOT include any ecological or environmental
CEQA studies work for the Roadway project, City to provide.
4. This proposal does NOT include acoustical studies or separate noise wall
mitigation plans.
5. Client or City shall be responsible for any Right-of-Way land acquisition/land

PROPOSAL: Summerhill Drive Roadway Extension Project
Traffic Engineering Plan Design
City of Lake Elsinore
Dear Mr.Swanson:
TJW Engineering, Inc. [TJW] is pleased to submit this proposed agreement to Hunsaker &
Associates (Hunsaker) to provide traffic engineering design plans for the proposed Summerhill
Drive extension project in the City of Lake Elsinore. The project would require the construction
of new roadway connecting Summerhill Drive with Greenwald Avenue to the north,a distance of
approximately 4,000-feet. Summerhill Drive would create a signalized t-intersection with
Greenwald Avenue.
To support the Hunsaker team and the City,TJW is proposing to prepare a traffic signal plan and
signing & striping plans for the project. The scope of work anticipated for this project and
proposal is as follows:
Traffic Signal Plan Design:
• Summerhill Avenue and Greenwald Avenue —TJW would prepare a traffic signal design
plan for this new, project intersection. It is anticipated that the City would require a
westbound left turn lane on Greenwald Avenue. On Summerhill Drive, it would be
expected that a left turn lane and a right turn lane would be required. TJW would
coordinate with Hunsaker on the final lane configuration. The plan would be drawn to
meet City of Lake Elsinore standards.
Signing and Striping Plan Design:
• Summerhill Drive:TJW would prepare signing and striping plans to accommodate the new
roadway, a distance of approximately 4,000-feet. It is anticipated that a 28-foot roadway
section will be built.TJW would provide the necessary centerline stripe,edge line striping,
and signing for the project.

• Intersection of Summerhill Drive and Greenwald Avenue:as discussed in the traffic signal
portion of this proposal, it is anticipated that striping will be needed to accommodate
anticipated lane configurations at the intersection.TJW would prepare the plans to match
the street improvement plans and traffic signal plans.
• Intersection of Summerhill Drive and Ponte Russo.TJW would make modifications to the
existing striping on Summerhill Drive south of the Ponte Russo intersection to
accommodate the new,fourth leg of the intersection.
TJW would coordinate with Hunsaker to prepare the design plans to match the street
improvement plans to be submitted as a package to the City for review and approval. The plans
would be designed per the standards set forth by the City of Lake Elsinore.
In this proposed agreement,TJW has provided the following items to define the project:

SCOPE OF SERVICES
The following items define the scope of services for this proposal.
1. Review the proposed street improvement plans provided by HUNSAKER.
2. Field review the existing conditions at the project site. TJW would review such things as the
existing geometry, sight distance, signing, striping, traffic patterns, existing traffic signal
equipment and above ground utilities. The findings would be incorporated into the design.
3. Prepare a traffic signal design plan for the Summerhill Drive and Greenwald Avenue
intersection.The plan would be drawn a scale of 1"=20'and would be designed to match the
street improvements for the project.The plans would be designed per the standards set forth
by the City of Lake Elsinore.
4. Prepare signing and striping plans for the streets of Summerhill Drive, Ponte Russo, and
Greenwald Avenue.The plans would be drawn using AutoCAD at a scale of V=40'.The plans
would be designed per the standards set forth by the City of Lake Elsinore.

5. Coordinate with Hunsaker on the project.
6. Submit the plans in concert with Hunsaker to the City of Lake Elsinore and respond to plan
check comments by the agencies.TJW would revise the plans and as necessary.
7. Submit signed and sealed plans to the City for signature to complete the project.
SCHEDULE
TJW anticipates that plan set would be completed in approximately 20 working days in order to
submit to HUNSAKER for review/submittal.
TJW can begin working on this project immediately if needed.
QUALIFICATIONS
TJW Engineering, Inc., located in Irvine, California, is a Small Business Enterprise (SBE) in the
State of California that specializes in craffc engineering and transportation planning. TJW
provides services to a variety of private and public sector clients including cities, counties,
architects, civil engineers, commercial and residential developers, school districts, community
associations, and other public agencies including Caltrans.
This project would be led by Thomas J. Wheat, P.E., T.E. who has over twenty years of project
managing and design experience in the traffic engineering profession and has worked extensively
in Southern California after coming to California in 2003. Mr. Wheat has prepared and designed
hundreds of traffic engineering design plans and transportation studies since opening of TJW
Engineering, Inc. in 2010. Mr.Wheat is a Registered Profession Engineer in Civil Engineering and
a Registered Traffic Engineer in the State of California.
PROFESSIONAL FEES
TJW Engineering,Inc.is proposing to provide the services stated above for the fixed fee amount
as follows:

The fee includes emailing PDFs of the plans as well as shipping a wet-signed plan set to the team
for their processing through the agencies for each plan check.Additional copies would be billed
on a time and material (T&M) basis. It is assumed that pick-up, drop-off, and shipping of plans
for agencies' review, above what was stated above, are assumed to be performed by others.
If a time and material contract is needed,TJW would provide the client with an estimated budget
based on the hourly rates as listed in the attached billing rate document.
LIMITATION OF LIABILITY
The Client agrees to limit the Design Professional's liability to the Client and to all construction
Contractors and Subcontractors on the project, due to the Design Professional's negligent acts,
errors, or omissions, such that the total aggregate liability of the Design Professional to all those
named shall not exceed $250,000.00 for this project.
CERTIFICATE OF MERIT
The Client shall make no claim for professional negligence, either directly or by way of a cross
complaint against the Consultant unless the Client has first provided the Consultant with a
written certification executed by an independent consultant currently practicing in the same

GENERAL PROVISIONS OF AGREEMENT
1, The above schedule is for straight time. Overtime will be charged at 1.5 times the standard hourly
rate. Hourly rates apply to work time as well as travel time and waiting time,which occur at meetings
and public hearings.
2. Unless otherwise stated in the contract, project-related travel, reproduction, and supply costs are
billed at cost. Mileage will be billed at prevailing standard mileage rate as determined by the IRS.
Subcontractors and other project-related expenses will be billed at cost plus 15%
3. Unless otherwise stated in the contract, invoice will be submitted monthly for work in progress or
upon completion of work. Invoices are payable within 30 days of the invoice date.Any unpaid invoice
after 30 days shall be subject to a service charge of the maximum interest rate allowed by law or two
(2) percent per month whichever is less.
4. Client hereby agrees that the balance in a billing statement is correct and binding unless the client
notifies the consultant in writing within fifteen (15) days of the date of billing and informs consultant
of the alleged incorrect item.
5. All documents produced as a result of this agreement may be used by TJW Engineering(TJW)without
consent from the client.
6. TJW makes no warranty as to his findings except that the work is performed using generally accepted
methods.
7. Unless otherwise stated in the contract, the client agrees to limit TJW's liability to the client, due to
professional negligent acts,errors,or omissions by the consultant,to the consultant's fee.
8. Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be
settled by arbitration in accordance with the rules of the American Arbitration Association, and
Judgment upon the award rendered by the arbitration may be entered in any court having jurisdiction
thereof.

Alta California Geotechnical, Inc. (Alta) is pleased to present this proposal for geotechnical
services in support of the extension of proposed Summerhill Drive, In the City of Lake Elsinore,
California. Our services will include: 1) a supplemental subsurface work to develop a
Preliminary Geotechnical Investigation report; and 2) provide geotechnical reviews of plans for
grading and infrastructure improvements .
Alta's proposal is based on your request, review of the site exhibits provided by your office,
review of the referenced reports, maps and air photos, online site views using Google Earth and
Historical Aerials, our extensive experience with mass graded projects in the City of Lake
Elsinore, including Railroad Canyon Road and the Canyon Hills Master Planned Community.
Site Description and Proposed Development
Proposed Summerhill Drive extends approximately 4,100 feet from it's existing Intersection
with Ponte Russo northward to proposed Greenwald Avenue. Summerhill Drive will be
graded through vacant, largely natural terrain with variable topography. Slopes range from
nearly flat to as steep as 1:1. The road alignment and the surrounding proposed residential
development is underlain by surficial deposits of young topsoils and alluvium, and Mesozoic-

age metasedimentary bedrock. Landsliding and active faulting are not know to occur with the
proposed road alignment.
The road alignment and the surrounding proposed residential development is covered by a
moderate to sparse growth of weeds. The large drainage just north of the Ponte Russo
intersection supports large trees and brush. Shallow groundwater may be present in this
drainage.
Proposed fills are deepest in the large drainage, up to 70 feet in height. Deepest cuts are 40+
feet. The grading concept shows 2:1 fill and cutslopes daylighting through the proposed
adjacent residential areas on both sides of the alignment. Drainage culverts will be
constructed In canyon areas.
Item 1 Preliminary Geotechnical Investigation
The purpose of our proposed Preliminary Geotechnical Report is to discuss the onsite
geotechnical conditions with respect to the proposed grading and construction, identify site
geotechnical constraints (if any), provide specific preliminary geotechnical recommendations
for grading and improvement construction, develop a document suitable for processing at the
City of Lake Elsinore, and provide information that can be utilized for value engineering and
construction cost estimates.
To provide site-specific geotechnical information and to supplement the existing geotechnical
information (Albus-Keefe, 2004), Alta will undertake a limited subsurface investigation. Our
work will utilize a rubber-tire backhoe in alluviated areas to obtain in-place moisture-density
data for remedial grading recommendations. Alta will also commission a seismic refraction
survey to obtain rippability information in deep bedrock cut areas.
Alta proposes the following Scope of Work for the 4,100-foot extension of Summerhill Drive:
➢ Review of maps, literature and air photos pertinent to the site;
Perform site geologic mapping;

➢ Excavate, log and sample twelve (10)to twelve (12) rubber-tire backhoe test pits. Alta
will perform in-place moisture/density testing within the test pits, utilizing a Nuclear
Gauge, at various intervals in the alleviated drainages to derive remedial grading
recommendations;
S Commission a six (6) to seven (7)seismic refraction traverses to provide excavatabilty
information down depths of necessary bedrock undercuts to facilitate utility
construction;
D Laboratory testing including: direct shear strength, laboratory maximum dry density
and optimum moisture content, expansion index, grain size distribution, and
preliminary screening for sulfates, and corrosion potential; R-values
Preparation of a geologic map, including the work presented in the previous
Investigation;
D Summarization of existing site conditions, including ripppability, and onsite soils
engineering characteristics;
D Seismic hazards evaluation;
➢ Analysis of cut and fill slope stability;
Develop remedial grading and grading recommendations;
Estimate remedial grading quantities and shrink/swell parameters;
Provide code-consistent seismic coefficients for design;
Provide design recommendations for retaining walls;
9 Preparation of a report with exhibits summarizing our findings, conclusions and
recommendations specific a Grading Plan. This report will be suitable for processing
at the City of Lake Elsinore, engineer's cost estimates and contractor bid purposes.
Item 2: Final Engineering and Plan Reviews
Alta will support Hunsaker and Associates during the final engineering of the Summerhill
Drive extension. It is anticipated that the City of Lake Elsinore will require the geotechnical
consultant to review the overall rough grading plans and improvements plans prior to issuing
a grading permit. Alta's Scope of Services to for our support during final engineering are
anticipated to include the following:

➢ Review of the grading plans with respect to the geotechnical recommendations
presented in the Preliminary Geotechnical Report;
D Review of improvement plans, including culverts, storm drains, utilities and
retaining walls (if any);
Preparation of letter-reports with appropriate exhibits summarizing the above
mentioned plan reviews;
Attendance at team meetings.
The estimated costs for provided these services are summarized below. A detailed cost
breakdown to provide the above services can be provided upon request.

would not fall under the current interpretation of the California prevailing wage law.
