Amendment to Sublease Agreement, and First Amendment to License
Agreement, and Authorizing Execution and Delivery of Same (Sublease Area

Recommendation
adopt A RESOLUTION OF THE SOUTHWEST RIVERSIDE COUNTY ENERGY AUTHORITY
(SRCEA) APPROVING AND AUTHORIZING THE EXECUTION AND DELIVERY BY
RESPONSIBLE OFFICERS OF THE SRCEA, THE FIRST AMENDMENT TO SOLAR POWER
PURCHASE AGREEMENT, FIRST AMENDMENT TO SUBLEASE AGREEMENT, AND FIRST
AMENDMENT TO LICENSE AGREEMENT, AND AUTHORIZING THE SRCEA EXECUTIVE
DIRECTOR TO EXECUTE SUCH AMENDMENTS FOR SUBLEASE AREA 2
Background and Discussion
On January 12, 2021, the respective City Councils to the City of Temecula and City of Lake
Elsinore considered and authorized their representatives to the SRCEA to approve the First
Amendment to Solar Power Purchase Agreement, First Amendment to Sublease Agreement, and
First Amendment to License Agreement.
The staff reports presented to the City Councils detailed the background and discussions that
necessitate these amendments. As there are no changes to the information contained in these
base reports, the most expeditions manner is to provide you with those staff reports as part of
your consideration of the action here. Both city staff reports are attached as exhibits to the Area
1 staff report included with the agenda package for this special meeting. The Resolution for
approval and the amendments as to Area 2 are attached as exhibits to this staff report.
Also included is the form of a guaranty to be entered into separately by Temecula and Lake
Elsinore. Although the guaranty is to be executed by each cities' City Manager, our past practice
has been to include a consent to that form in the approving resolution.
In addition, staff will be making a full report/presentation of these items during the SRCEA
meeting.
