HomeMy WebLinkAboutSRCEA Item 2 - SR re Bylaws revSouthwest Riverside County Energy Authority a Joint Powers Authority of the Cities of Temecula and Lake Elsinore, California REPORT TO SRCEA BOARD To: Honorable Chair and Members of the Board From: Michael Bracken, Staff Liaison to the SRCEA JPA Board Date: February 14, 2018 Subject: Southwest Riverside County Energy Authority Bylaws; Appointment of Executive Director and Treasurer/ Auditor Recommendation 1. adopt A RESOLUTION OF THE SOUTHWEST RIVERSIDE COUNTY ENERGY AUTHORITY APPROVING THE BYLAWS OF THE SOUTHWEST RIVERSIDE COUNTY ENERGY AUTHORITY; and 2. appoint the Executive Director and Treasurer/Auditor to the SCREA. Background and Overview The creation of the Southwest Riverside County Energy Authority as a Joint Powers Authority (JPA) calls for the adoption of Bylaws that govern the entity. The Bylaws were prepared by David Mann (Assistant City Attorney for the City of Lake Elsinore and Attorney for SRCEA) and have been reviewed by Peter Thorson, City Attorney for the City of Temecula. While the proposed Bylaws are attached, here are a few items of note: A. The SRCEA Board is comprised of two (2) representatives of each member jurisdiction. B. A Quorum will consist of all four (4) members being present (meaning two voting members from each jurisdiction). C. The SRCEA Board will serve without compensation. D. The Executive Director has been designated to be the Assistant City Manager for the City of Lake Elsinore at this time. E. The records of the SRCEA shall be kept in the City of Lake Elsinore (City Hall) F. The place of business (SRCEA Board Meetings) will generally be held in the City of Temecula (City Hall). G. The SRCEA shall be governed by the Ralph M. Brown Act. The SRCEA Board has previously appointed the City Clerk of the City of Lake Elsinore, Susan Domen, to serve as Secretary and Lake Elsinore Assistant City Attorney David Mann to serve as Counsel. As noted above, the Bylaws provide that the Assistant City Manager of the City of Lake Elsinore will serve as the Executive Director, unless another person is selected by the Board. Jason Simpson serves as the Assistant City Manager to the City of Lake Elsinore. The Bylaw also provide that the Executive Director may simultaneously serve as the Treasurer and Auditor for the SRCEA. Accordingly, the Board is requested to consider appoint Jason Simpson to serve as the Executive Director and Treasurer/Auditor. Fiscal Impact Adoption of a Resolution approving the SRCEA Bylaws and appointing the Executive Director and Treasurer/Auditor will not have a fiscal impact.
