P g before One nagging issue still unresolved i.s the effect of the Regulatory Agreement on the use of the Frope7ty, It is my opinion that the Regulatory Agreement is of no further effect or restriction on the operation or occupancy of the project due to the original foreclosure ebma Barclays Inland Empi_e, the original developer,Pi and w911nst remain ineffectual unless the project is reacquired by Barclays. Therefore, to clear the title of by the Regulatory Agreement I have the cloud caused exr;cutio:! by all parties prepared a Release for and recordation with the Riverside County T;ecorde and b This release has been signed by Pima Savings y the Trustee, Seattle-First National Bank, but was never aPProved by the City Council and authorized for recordation. AGREEMENT By and Among CITY OF LAKE EI.SINORE, CALIFORNIA and SEATTLE-FIRST NATIONAL B.9NK and r2hA SAVINGS AND LOAN ASSOCIATION DATED Xr—Y 1, .987 -Relating to $4,600,000 CITY OF LAKE E:S INORE MU..TIFAMILY MORTGAGE REVENUE BONDS (GRAND AVENUE PROJECT) 1984 SERIES A RELEASE OF REGULATORY AGREEMENT THIS RELEASE OF REGULATORY ACREEMn-T is made and entered into as of July 7 1987, by and among the City of Lake Elsinore, a municipal corporation and Political subdivision of the State of California (che "Issuer` A National Bank, a national banking association. (the "Trustee" ) � Seima S Figs and Loan Association, an Arizona corporation (the "Lender,;) �. and Pima Saving Fa A' w'HEREAS, the Issuer has heretofore determined to adopt and implement a multifamily housing program (the "Program") under which the Issuer will make a loan to the Lender to make a mortgage loan to Barclays-Iniand Empire, a California partnership (the "Compare`; to provide financing for a multifamily renta= residential development located within the City: and WHEREAS. the Issuer has issued, sold and delivered its Eultifamily Mortgage Revenue Bonds, 1984 Series A (the "Bands") in the aggregate principal amount of $4,600.000 pursuant to an indenture of trust dated as of July 1, 198A by and between the Issuer and the Trustee (the "Indenture") to obtain moneys to carry out the Program, and to par the costs of California; and issuing ..he Bonds, all under and in accordance with the Constitution and Laws of the State of SEAS, the Project was made subject to a Regulatory Agreement and Declaration of Restrictive Covenants dated as of July 1,r1984 (the "Regulatory Agreement"), by and among the City, the Trustee, the Lender and the Company Providing for the occupancv (at least 20%) by individuals of low and moderate income within the meaning of Section 103(b)(12)(C) of the Internal Revenue Code of 1954, as amended, (the "Code") , ail for the public purpose of assisting persons of low and moderate income within the City to obtain decent, safe and sanitary housing; and L+z--F AS, the Company has substantiaiiv completed the construction of o :50-unit apartment complex known as the Grand Oaks Apartments (the "Project") ; and WHEREAS, the Company has executed a note and deed of :rust on the Development Site described Jr Exhibit A hereto, evidenalq& the Company's obligation to repay the loan by the Lender to the Company (the "Company Loan") : and WHEREAS, due to the Company's failure to meet its obligations under the Company Loan the Lender has initiated and completed foreclosure proceedings and the title to the Project has passed to a third-party purchaser; and WHEREAS, fedcral tax law and the Project documents provide that if an involuntary loss of the Project due to foreclosure shall occur which prevents the City from enforcing the covenants of the Company pertaining t,) th.-requirements of the Internal Revenue Code of 1954, as amended, Section 103(b)(4) and U.S. Treasury Regulation Section 1.103-8(b) (collectively the "Tax Law"), containing the limitations utilizing tax-ex imposed on residential rental property espt bond finAncing, then the restrictions contained in such Sections shall cease to apply and bonds issued to provide such a project do not become taxable; and 14MMAS, the Lender has tendered the proceeds of the foreclosure sale the amount of the principal amount of bonds Outstanding within a reasonable time of the foreclosure sale to the trustee, 1r.
