RECITALS A.TheCityandConsultanthaveenteredintothatcertainAgreementforProfessional ServicesdatedasofDecember01,2018,(the“OriginalAgreement”).Exceptasotherwise definedherein, allcapitalizedtermsusedhereinshallhave themeaningssetforthforsuchterms intheOriginalAgreement. B.TheOriginalAgreementprovidedforcompensationtoConsultantinanamount of ThirtyThousanddollars($30,000). C.Amendment No. 1 was approved May 14, 2019, to increase the Consultant’s compensation to in an amount not to exceed Seventy-Eight Thousand dollars ($78,000) D.The partiesnowdesiretoamendthe scopeofservicesandincreasethe payment forsuchservicesassetforthinthisAmendmentNo2. NOW,THEREFORE,inconsiderationofthemutualcovenantsandconditionssetforth herein,CityandConsultantagreeasfollows: 1.Section1,ScopeofServices,oftheOriginalAgreementisherebyamendedtoadd thefollowing: ConsultantshallalsoperformtheservicesdescribedinConsultant’s October16,2019Proposal(attachedtothisAmendmentNo.2as ExhibitA-2).Consultantshallprovidesuchservicesatthetime,place,and inthemannerspecifiedinExhibitA-2,subjecttothedirectionoftheCity throughitsstaffthat it mayprovidefromtimetotime. 2.Section3,Compensation,oftheOriginalAgreementisherebyamendedtoadd the following: Notwithstandingtheforegoing,forpurposesofAmendmentNo.2andthe termthereof,compensationtobepaidtoConsultantshallbeinaccordance withtheScheduleofChargessetforthinConsultant’sProposal (referencedcollectivelyasExhibitA-2AmendmentNo.2).Innoevent shallConsultant’scompensationrelatedto ExhibitA-2to AmendmentNo. 2exceedThirty-Seven ThousandEight Hundreddollars($37,800)nor shall Consultant’s total compensation under this Agreement, as amended, exceed One Hundred Forty-Five Thousand Eight Hundred dollars ($145,800) without additional written authorization from the City. 2 NotwithstandinganyprovisionofConsultant’sProposaltothecontrary,out ofpocketexpensessetforthinExhibitA-2respectively,shallbe reimbursedatcostwithoutaninflatororadministrativecharge.Payment byCityunderthisAgreementshallnotbedeemedawaiverofdefects, evenifsuchdefectswere knowntothe Cityatthetimeofpayment. 3.Exceptforthe changesspecificallyset forthherein,allothertermsandconditions oftheOriginalAgreementshallremaininfullforceandeffect.
