SUBJECT: RECIPROCAL EASEMENT AGREEMENT BY AND BETWEEN
THE CITY OF LAKE ELSINORE AND RODNEY A. NIELSEN AND
ELAINE E. NIELSEN
Background
On January 6, 2009, the Planning Commission approved CUP 2007 -18 for the
establishment of a "tackle and bait" shop in conjunction with a convenience store
located at 1604 W. Lakeshore Drive. Condition of Approval No. 17 for CUP 2007 -18
requires that the applicant obtain an easement from the City of Lake Elsinore across
property that the City owns (APN 375 - 350 -009: the "City Property ") to the east of the
project site (APN 375 - 350 -008: the "Nielsen Property ").
Discussion
In satisfaction of Condition of Approval No. 17, Staff and the applicant have negotiated
the attached Reciprocal Easement Agreement (the "Agreement "). According to the
Agreement, the City will grant the Nielsens a fifteen foot (16) wide access easement
and right -of -way on, over and across the City Property to allow pedestrian and vehicular
ingress and egress of the Nielsen Property to and from Lakeshore Drive (the "City
Easement ").
As consideration for the City's grant of the City Easement, the Nielsens will grant to the
City two easements across the Nielsen Property. The first easement is a trail easement
and right -of -way on, over and across the Nielsen Property for the purpose of allowing
the City to establish a ten foot (10') wide public use /recreational trail for pedestrian and
such other non - motorized recreation activity such as walking, bicycling, and in -line
skating along the shoreline of Lake Elsinore (the "Trail Easement "). The second
easement is a temporary "flood" easement due to the fact that the Nielsen Property is
within the flood plain (the "Temporary Easement ").
The City Easement, Trail Easement and Temporary Easement are depicted on Exhibit
"A" to the attached Reciprocal Easement Agreement.

Pursuant to Section 1.2 of the Reciprocal Easement Agreement, the Nielsens shall
construct and /or install improvements in, on, and along the City Easement (the
"Improvements to City Easement'). The Improvements to the City Easement shall be
constructed /installed in accordance with all applicable building and development
standards and the plans and specifications approved by the City. The cost of the
construction /installation of the Improvements to the City Easement shall be borne solely
by the Nielsens.
Similarly, the City may construct and /or install certain improvements in, on, and along
the Trail Easement. At such time that the City drafts trail improvements plans, the City
shall provide Nielsens a copy of said plans.
Recommendation
1) Approve the attached Reciprocal Easement Agreement in such final form as may
be approved by the City Attorney.
2) Authorize the Mayor to execute the final form of the Reciprocal Easement
Agreement.

This Reciprocal Easement Agreement (the "Agreement ") is made this _ day
of 2009, ( "Effective Date ") by and between THE CITY OF LAKE
ELSINORE, a California municipal corporation ( "City ") and RODNEY A. NIELSEN AND
ELAINE E. NIELSEN, individuals (the "Nielsens ").
RECITALS
A. City is the owner of that certain unimproved real property located in the
City of Lake Elsinore, County of Riverside, California, commonly identifiable as
Assessor's Parcel Number 375 - 350 -009, and more particularly described in Exhibit "A"
attached hereto and incorporated herein by this reference (the "City Property ").
B. Rodney A. Nielsen and Elaine E. Nielsen, Husband and Wife, UDT
September 15, 1986, are the owners of that certain improved real property located in
the City of Lake Elsinore, County of Riverside, California, commonly identifiable as
Assessor's Parcel Number 375 - 350 -008, having a street address of 1604 W. Lakeshore
Drive, and as more particularly described in Exhibit "B" attached hereto and
incorporated herein by this reference (the "Nielsen Property ").
C. The City Property and the Nielsen Property adjoin one another at a
common boundary line as depicted on Exhibit "C" attached hereto and incorporated
herein by this reference.
D. The Nielsens filed an application for a Conditional Use Permit with the City
of Lake Elsinore to establish bait and tackle shop in conjunction with a convenience
store on the Nielsen Property. Based upon the Lake Elsinore Engineering Division's
analysis of the project, the width and configuration of the Nielsen Property, coupled with
the location of the existing building on the Nielsen Property, prevented the Nielsens
from constructing the necessary driveway and on -site circulation improvements
necessary to provide for sufficient ingress and egress for vehicular traffic that will be
created by the proposed commercial enterprise. Such circulation deficits constitute a
significant impediment to the economic development of the Nielsen Property
E. To assist and promote the economical use of the Nielsen Property by way
of providing an off -site circulation alternative and to also achieve certain community

goals related to recreation and public safety on Lake Elsinore, the City of Lake Elsinore
has voluntarily proposed to provide an easement on the City Property in exchange for
certain reciprocal easements as provided herein.
F. Following such negotiations, the City of Lake Elsinore Planning
Commission has conditionally approved Conditional Use Permit No. 2007 -18, provided,
however, that such Conditional Use Permit No. 2007 -18 specifically provides that such
use shall not commence until recordation of an easement on the City Property as
provided herein and the establishment of proper means of ingress and egress.
NOW, THEREFORE, in consideration of these Recitals and the conditions and
covenants hereinafter contained the parties agree as follows:
Terms and Conditions
1.1 Grants of Easement
a. Grant of Easement - City Easement For valuable consideration,
the receipt of which is hereby acknowledged, City for itself and its grantees, successors
and assigns, hereby grants to, and for the use and benefit of, the Nielsens and their
grantees, successors and assigns, a non - exclusive fifteen foot (15') wide access
easement and right -of -way on, over and across the City Property as depicted on Exhibit
"C ", subject to the terms and conditions more particularly set forth below, for the
purpose of allowing pedestrian and vehicular ingress and egress of the Nielsen Property
to and from Lakeshore Drive (the "City Easement ").
b. Grant of Easement — Trail Easement For valuable consideration,
the receipt of which is hereby acknowledged, the Nielsens for themselves and their
grantees, successors and assigns, hereby grant to, and for the use and benefit of, the
City and its grantees, successors and assigns, a non - exclusive, perpetual easement
and right -of -way on, over, and across the Nielsen Property as depicted on Exhibit "C ",
subject to the terms and conditions more particularly set forth below, for the purpose of
allowing City to establish a ten foot (10') wide public use /recreational trail for pedestrian
and such other non - motorized recreation activity such as walking, bicycling, in -line
skating along the shoreline of Lake Elsinore (the "Trail Easement "). Overnight public
camping and campfires shall not be permitted within the Trail Easement. City shall
have the right, in its sole discretion, to restrict or limit public use of and access to the
Trail Easement and the Trail Easement shall not materially interfere with the economic
use of the Nielsen Property on a frequent, and /or continuous basis.
c. Grant of Easement — Temporary Easement For valuable
consideration, the receipt of which is hereby acknowledged, the Nielsens for themselves
and their grantees, successors and assigns, hereby grant to, and for the use and benefit
of, the City and its grantees, successors and assigns, a temporary right, power,
privilege and easement to intermittently and completely seep, flood, flow and inundate
the Nielsen Property within the flood plain of Lake Elsinore (the "Temporary
Easement ").

d. The City Easement, Trail Easement and the Temporary Easement
shall be referred to herein collectively as the "Easements ".
1.2 Improvements
a. Improvements to City Easement Nielsens shall construct and /or
install certain improvements in, on, and along the City Easement (the "Improvements to
City Easement "). The Improvements to the City Easement are depicted on Exhibit "D ".
The Improvements to the City Easement shall be constructed /installed in accordance
with all applicable building and development standards and the plans and specifications
approved by the City. The cost of the construction /installation of the Improvements to
the City Easement shall be borne solely by the Nielsens.
b. Improvements to the Trail Easement The City may construct
and /or install certain improvements in, on, and along the Trail Easement (the "Trail
Improvements "). As of the Effective Date of this Agreement, the City has not drafted
plans for the Trail Improvements; however, at such time that the City drafts Trail
Improvements plans, City shall provide Nielsens a copy of said plans.
1.3 Maintenance
a. Maintenance of City Easement Nielsens shall bear all costs of
maintaining, repairing, and replacing the City Easement in a clean, level and safe
condition. Such maintenance, repair and replacement obligations shall include, but are
not limited to, repair of potholes, keeping the City Easement free from debris and
weeds, repairing damage due to ordinary wear, and replacing the surface of the City
Easement as necessary. Nielsens shall have the sole right and responsibility to
contract for repair and maintenance services for the City Easement. Should Nielsens
fail to maintain the City Easement as required hereunder, City shall have the right, after
ten (10) days written notice to Nielsens, as provided hereinbelow, to perform such
maintenance and be reimbursed from Nielsens for such expenses within ten (10) days
after receipt of the invoice.
b. Maintenance of Trail Easement City shall bear all costs of
maintaining, repairing, and replacing the Trail Easement in a clean, level and safe
condition. Such maintenance, repair and replacement obligations shall include, but are
not limited to, repair of potholes, keeping the Trail Easement free from debris and
weeds, repairing damage due to ordinary wear, and replacing the surface of the Trail
Easement as necessary. City shall have the sole right and responsibility to contract for

1.4 No Obstruction of Easements
a. No Obstruction of City Easement City or its agent shall not block,
obstruct or in any way interfere with Nielsens' use of the City Easement. No fences,
walls or other barriers will be constructed in such a manner as to interfere with Nielsens'
use of the City Easement pursuant to the terms set forth herein. City shall not construct

buildings, improvements, fences and /or landscape across the City Easement without
the prior written consent of Nielsens, which consent shall not be unreasonably withheld.
b. No Obstruction of Trail Easement Nielsens or their agent shall not
block, obstruct or in any way interfere with City's use of the Trail Easement. No fences,
walls or other barriers will be constructed in such a manner as to interfere with City's
use of the Trail Easement pursuant to the terms set forth herein. Nielsens shall not
construct buildings, improvements, fences and /or landscape across the Trail Easement
without the prior written consent of City, which consent shall not be unreasonably
withheld.
1.5 Indemnification. Nielsens agree to defend, indemnify and hold harmless
the City, its officers, officials, agents, employees and volunteers from and against any
and all claims, demands, actions, losses, damages, injuries, and liability, direct or
indirect (including costs and expenses in connection therein), to the extent arising out of
the use of the City Easement, except for any such claim arising out of the sole
negligence or willful misconduct of the City, its officers, agents, employees or
volunteers.
City agrees to defend, indemnify and hold harmless the Nielsens, their officers,
officials, agents, employees and volunteers from and against any and all claims,
demands, actions, losses, damages, injuries, and liability, direct or indirect (including
costs and expenses in connection therein), to the extent arising out of the use of the
Trail Easement and the Temporary Easement, except for any such claim arising out of
the sole negligence or willful misconduct of the Nielsen, their officers, agents,
employees or volunteers.
1.6 Establishment of Easements The Easements described in this instrument
shall be deemed established upon the recording of this document and the obligations,
burdens and benefits contained in this Agreement shall run with the land and shall be
binding upon the City and Nielsens and their respective successors and assigns,
superior to all other subsequently recorded encumbrances affecting any portion of the
City Property and the Nielsen Property.
1.7 Abandonment of Easement The City Easement shall continue in force
and effect until (i) such time that Conditional Use Permit No. 2007 -18 expires, is
revoked, or is terminated, or (ii) abandoned by the Nielsens. The Trail Easement and
Temporary Easement shall continue in full force and effect in perpetuity. . In the event
that the City Easement and /or Trail Easement is abandoned, the easement holder shall
remove all Improvements and restore such burdened property to the state it was in
before the Improvements were completed.
General Terms
2.1 Bindinq on Successors The Easements and the rights and obligations
hereunder will be binding upon and will inure to the benefit of the assignees and
successors in interest of each of the parties so long as such assignees or parties own

all or any portion of the respective property interests. The Easements may not be
separately assigned or conveyed, and the rights and obligations described herein and
the Easements created hereunder are specifically appurtenant to and for the benefit of
each of the property interests of the parties.
2.2 Amendments No provision of this Agreement may be amended or added
to except by an agreement in writing signed by the parties hereto or their respective
permitted successors in interest, which expressly states that it is an amendment of this
Agreement, and that is recorded in the Recorders Office of Riverside County, California.
2.3 Authority to Execute Each party warrants that the individual(s) signing
this Agreement have the legal power, right, and authority to make this Agreement and
bind each respective party.
2.4 Notices All notices, requests, demands, and other communication given
or required to be given hereunder shall be in writing and personally delivered or sent by
United States registered or certified mail, return receipt requested, or sent by nationally
recognized courier service such as Federal Express, duly addressed to the parties as
follows:

Delivery of any notice or other communication hereunder shall be deemed made
on the date of actual delivery thereof to the address of the addressee, if personally
delivered, and on the date indicated in the return receipt records as the date of delivery
or as the date of first attempted delivery to the address of the addressee, if sent by mail.
Any party may change its address for purposes of this section by giving notice to the
other party.
2.5 Governing Law The parties hereto acknowledge that this Agreement has
been negotiated and entered into in the State of California. The parties hereto
expressly agree that this Agreement shall be governed by, interpreted under, and
construed and enforced in accordance with the laws of the State of California.
2.6 No Additional Easements Both City and Nielsens agree that during the
term of this Agreement no other additional easement or easements shall be granted on,
under, or over the City Property or Nielsen Property without obtaining the prior written
consent of both parties, which consent shall not be unreasonably withheld.

2.7 Effect of Waiver Waiver by either party in whole or in part, expressly or
by acquiescence, of any portion of this Agreement shall not constitute a waiver of any
other portion of this Agreement. A party's failure to insist upon strict compliance with
any provision of this Agreement or to exercise any right or privilege provided herein, or
a party's waiver of any breach hereunder, shall not relieve the other party of any of its
obligations hereunder, whether of the same or similar type. The foregoing shall be true
whether the party's actions are intentional or unintentional.
2.8 Severability Each provision, condition, covenant, and restriction in this
Agreement shall be considered severable. In the event any provision, condition,
covenant, and restriction in this Agreement is declared invalid or void for any reason,
such provision shall not affect any other provision, condition, covenant, and restriction
herein. The void or invalid provision, condition, covenant, and restriction will be deemed
not a part of this Agreement, and the remainder hereof shall continue in full force and
effect.
2.9 Exhibits The Exhibits attached hereto are hereby incorporated herein by
this reference for all purposes.
