SUBJECT: INTERIM CITY CLERK PERSONAL SERVICES CONTRACT
BACKGROUND
Debora Thomsen's submitted her resignation as City Clerk on January 26, 2010. The City
needs an experienced person to serve as Interim City Clerk until a permanent City Clerk is
appointed.
Carol Cowley has previously served in the capacity as Interim City Clerk for the City. She
has agreed to serve as the City Clerk on an interim basis. She will also act as Secretary to
the Redevelopment Agency and the Public Finance Authority.
DISCUSSION
Underthe City's Manager's authority, a Personal Services Contract has been prepared for
Ms. Cowley using the City's standard form. Ms. Cowley has indicated that she is available
to serve on an interim basis on Mondays, Tuesdays and Thursdays along with attendance
at all City Council/Redevelopment Agency regular and special meetings. Her hourly rate is
set at $75.00.
FISCAL IMPACT
Estimated cost is approximately $8,500 through the March 15, 2010 term of the Personal
Services Contract.

RECOMMENDATION
That the City Council confirm the resignation of Debora Thomsen; and
2. That the City Council confirm the attached Personal Services Contract with Carol
Cowley.

CONTRACT PERIOD: FROM JANUARY 28, 2010 TO MARCH 15, 2010.
WITNESSETH:
That in consideration of the covenants and agreements herein expressed and of the faithful. performance by CONTRACTOR
of all covenants and agreements, the CITY. agrees to pay CONTRACTOR the following amount which includes travel and all other
related expenses:
Seventy Five Dollars ($75.00) per hour
TERMS AND CONDITIONS
1 INDEPENDENT CONTRACTOR -It is understood that CONTRACTOR, in the performance, of the work and services agreed to be. performed, shall act as and
bean independent contractor and shall not act as anragent or employee of CITY. CONTRACTOR shall obtain no rights to retirement bedefns or other benefits

2. HOLD HARMLESS - CONTRACTOR shall be. responsible for and hold the CITY harmless from all damage to property, injury to persons, and loss; expense,
inconvenience, and delay that maybe caused by or result from any act, omission, or neglect of CONTRACTOR.

5. APPLICABLE LANV - This agreement shall be governed by and construed in accordance with the laws of the State of Califotma.
6. AUDIT CLAUSE In accepting this agreement with the City of Lake Elsinore, CONTRACTOR agrees that. books; records, documents,. accounting procedures,
practices. m' any other items of the service provider relevant to the agreement are subject to examination by the City of Lake Elsinore..
7 TERMINATION - This agreement maybe terminated by CITY immediately for cause in by either party without cause upon thirty (30) days' written notice of
termination. Upon termination, CONTRACTOR shall be entitled to compensation. for services performed up to the effective date of termination
